Proposed changes to Lincoln Academy Bylaws
To be discussed and voted on at the March 9th meeting of the LA Board of Directors Meeting, 2009.

1.Article III Governing Board

Section 3.2 Number, Tenure and Qualifications

Section that reads currently:

The Board shall have six members. Board members may not be teachers or other paid employees of the school except the principal who will be a non-voting member. Four Board members will be parents/legal guardians of students currently enrolled in the school with a fifth either being a community member at large or a parent/legal guardian of a student currently enrolled in the school….

Proposed Change of Section 3.2:

The board shall have ten members. Board members may not be teachers or other paid employees of the school except the principal who will be a non-voting member. Seven Board members will be parents/legal guardians of students currently enrolled in the school with up to two additional Board members from the community at large.

….A Member of the community at large, who is not a parent/legal guardian of a student currently enrolled in the school, may be nominated to a Board vacancy by the Board. A Community Board Member is a voting member, has no one year school service requirement, and may chair a Board Committee.

Section 3.4 Compensation

Current reading of section will be stricken in its entirety and changed as follows:

By resolution of the Board of Directors, any director may be compensated for expenses incurred on behalf of the Board or for attendance at meetings. Directors are otherwise unpaid by the corporation.

Section 3.7 Removal
Section 6.8 Bylaw Changes

Each section will be changed from the current vote of 4/5 to read: 2/3.
